Terms of Service for Osage Digital Hosting Services, L.L.C.

These Terms of Service ("Terms") govern your use of the digital marketing services provided by Osage Digital Hosting Services, L.L.C. By engaging our services, you agree to be bound by these Terms.

1. Services

Osage Digital Hosting Services, L.L.C. agrees to provide digital marketing services as outlined in the client's specific Service Agreement or Statement of Work. This may include, but is not limited to, Search Engine Optimization (SEO), Pay-Per-Click (PPC) advertising, Social Media Marketing, and Content Marketing. The scope, timelines, and deliverables will be explicitly defined in the governing service document.

2. Client Obligations

The client agrees to provide all necessary access to information, digital assets, and platforms required for Osage Digital Hosting Services, L.L.C. to perform the agreed-upon services. This includes, but is not limited to, website back-end access, ad account access, and branding materials. The client is responsible for the accuracy and legality of all provided materials.

3. Payment Terms

Payment for services will be conducted as specified in the Service Agreement. Invoices are due upon receipt unless otherwise stated. Failure to make timely payments may result in the suspension or termination of services. All fees paid to Osage Digital Hosting Services, L.L.C. for services are non-refundable.

4. Timelines and Deliverables

Osage Digital Hosting Services, L.L.C. will make every effort to meet the projected timelines. However, these timelines are estimates and may be subject to change due to unforeseen circumstances or delays in client feedback or approvals. The digital marketing landscape is dynamic; therefore, specific outcomes (e.g., #1 ranking on Google) cannot be guaranteed.

5. Confidentiality

Both parties agree to keep confidential all non-public information obtained during the course of the service agreement. This includes business strategies, financial information, and proprietary data. This obligation of confidentiality will survive the termination of the service agreement.

6. Intellectual Property

All pre-existing intellectual property of each party remains their own. Any new content, designs, or campaign materials created by Osage Digital Hosting Services, L.L.C. specifically for the client during the term of service will become the property of the client upon full payment for the services rendered.

7. Limitation of Liability

Osage Digital Hosting Services, L.L.C. shall not be liable for any indirect, incidental, special, or consequential damages, including loss of profits, revenue, or data, arising from the use of our services. Our total liability for any claim arising out of or relating to our services shall not exceed the total fees paid by the client to Osage Digital Hosting Services, L.L.C. in the three (3) months prior to the claim.

8. Termination

Either party may terminate the service agreement with written notice as specified in the contract. Upon termination, the client is responsible for all fees accrued up to the date of termination.

9. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Osage Digital Hosting Services, L.L.C. is registered, without regard to its conflict of law principles.
